Agreement to Terms
By accessing or using Cerebelus (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you must not use the Service. These Terms constitute a legally binding agreement between you and Cerebelus.
Definitions
- "Service" means the Cerebelus web application, API, and all related features and functionality.
- "User", "you", or "your" means any individual or entity that accesses or uses the Service.
- "User Content" means any data, text, files, or other materials you upload, submit, or create through the Service.
- "Subscription" means a paid plan that provides access to premium features of the Service.
Account Registration
To use the Service, you must create an account with accurate, complete, and current information. You are responsible for maintaining the confidentiality of your password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
You may not create an account on behalf of someone else, use another person's account, or share your account credentials.
Eligibility
You must be at least 16 years old to use this Service. By creating an account, you represent and warrant that you meet this age requirement. If you are under the age of legal majority in your jurisdiction, you must have the consent of a parent or legal guardian.
Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights
- Attempt to interfere with, compromise, or disrupt the security, integrity, or availability of the Service
- Harass, threaten, defame, or discriminate against other users
- Send unsolicited or unauthorized advertising, spam, or promotional material
- Upload or transmit viruses, malware, or any other harmful code
- Scrape, crawl, or use automated means to access the Service without our written permission
- Reverse engineer, decompile, or attempt to extract the source code of the Service
We reserve the right to suspend or terminate accounts that violate these terms, with or without notice.
Fair Use and Rate Limiting
To ensure a stable and reliable service for all users, we reserve the right to apply fair use policies and limit access in cases of disproportionate, automated, or abusive consumption that may affect service quality.
We may also suspend access for security reasons, detection of unusual activity, or technical non-compliance.
Fraud, Abuse, and Right of Admission
We reserve the right to immediately suspend or delete, without prior notice or right to refund, any user account engaged in fraudulent or abusive practices, including but not limited to:
- Misuse or systematic exploitation of coupons, promotional codes, or discounts
- Creating multiple accounts to repeatedly obtain free trials or promotional benefits
- Attempting to manipulate or breach the platform's control systems
- Industrial espionage, unfair competition, or obtaining confidential information by simulating use
In such cases, all accounts associated with the same user, identity, IP address, or device may be permanently blocked, even if some maintain an active or paid subscription.
We reserve the right of admission and access to the Service, and may restrict or deny use to users who, in our reasonable judgment, pose a risk to the technical, operational, or strategic integrity of the Service.
Intellectual Property
The Service, including its design, code, text, graphics, logos, and all associated intellectual property, is owned by Cerebelus and protected by applicable copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our prior written consent.
You retain all rights to the content you create or upload to the Service. By using the Service, you grant us a limited, non-exclusive license to host, display, and process your content solely to provide the Service to you.
User Content
You are solely responsible for any content you upload, create, or share through the Service. You represent that you have all necessary rights to your content and that it does not infringe on any third-party rights.
We may remove content that violates these Terms or applicable law, but we are not obligated to monitor all User Content.
You are solely responsible for maintaining your own copies and backups of your data. While we implement reasonable measures to protect data integrity, we are not liable for any loss, corruption, or unavailability of User Content for any reason.
You may request export of your data through the support section in your account.
Payments and Subscriptions
Paid Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on the plan you select). You authorize us to charge your payment method on file for all fees associated with your Subscription.
Subscriptions automatically renew at the end of each billing period until cancelled. It is your sole responsibility to cancel before the renewal date if you do not wish to continue. Renewal charges are not refundable.
We may change Subscription prices from time to time. Price changes will take effect at the start of your next billing period.
All prices are exclusive of applicable taxes unless otherwise stated. You are responsible for any taxes applicable to your use of the Service.
All payments are non-refundable except as strictly required by applicable law. Cancellation does not entitle you to a proportional refund for the remaining period — you retain access until the end of your current billing cycle. Service interruptions, maintenance, or changes to features do not create a right to any refund or credit.
If you initiate a payment dispute or chargeback with your bank or payment provider without first attempting to resolve the matter directly with us, we reserve the right to immediately suspend your account and seek recovery of any fees, costs, or losses incurred as a result of the dispute process.
By accepting these Terms and subscribing to the Service, you expressly request that the digital service be made available to you immediately and you acknowledge that you thereby lose the 14-day withdrawal right provided under applicable consumer protection regulations (Directive 2011/83, Article 16(m)).
Free Trials
We may offer free trials for paid Subscriptions. At the end of a trial, you will be automatically enrolled in a free plan unless you choose to subscribe.
Cancellation
You may cancel your Subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period — you will continue to have access to paid features until then.
We may cancel or suspend your Subscription if you violate these Terms, fail to pay, or if we discontinue the Service (with reasonable notice).
Promotions, Coupons, and Referral Programs
We may offer special promotions, discount codes, or referral programs for a limited time. These promotions will be subject to specific conditions communicated at the time of their launch.
- Coupons and discounts are not stackable unless expressly stated otherwise
- Improper, fraudulent, or automated use of promotions will result in immediate cancellation of the benefits, without right to refund
- We reserve the right to modify or cancel any promotional program at any time, without prior notice
- We may establish limits on the number of times a benefit can be redeemed or on the number of beneficiaries per customer
Benefits granted through promotional campaigns do not create permanent acquired rights and may be modified based on operational sustainability criteria.
Credit Balance
Credits earned through referral programs, promotions, or other rewards are applied as credit to your account balance. This balance is automatically deducted from your next invoice and can only be used within the Service. Credit balance is not redeemable for cash, cannot be transferred to third parties, and has no monetary value outside the Service. We reserve the right to adjust, expire, or revoke credit balances in cases of abuse, fraud, or violation of these Terms.
Service Availability and Modifications
We strive to maintain high availability but do not guarantee uninterrupted access to the Service. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
We reserve the right to modify, update, or discontinue features of the Service to improve it, maintain security, or adapt to technical or legal requirements. In the event of material changes that significantly reduce the core functionality you subscribed to, you may cancel your Subscription and the applicable cancellation terms will apply.
Unless a separate written agreement explicitly states otherwise, the Service is provided without any service level agreement (SLA), uptime guarantee, or performance commitment.
Termination
We may suspend or terminate your access to the Service immediately if you materially breach these Terms, engage in fraud, or if required by law. Upon termination, your right to use the Service ceases immediately.
If your account is terminated due to your breach of these Terms, you are not entitled to any refund. If you cancel your account voluntarily, you retain access until the end of your billing period with no further refund.
Sections relating to intellectual property, limitation of liability, indemnification, governing law, and payment obligations survive termination.
Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Cerebelus SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITIES, LOSS OF GOODWILL, COST OF SUBSTITUTE SERVICES, OR INTERRUPTION OF BUSINESS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.
Our total liability for any claims arising from or related to these Terms or the Service shall not exceed the amount you have paid us in the 12 months preceding the claim.
Indemnification
You agree to indemnify and hold harmless Cerebelus, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your User Content, or your violation of these Terms.
Force Majeure
Cerebelus shall not be liable for failure to perform its contractual obligations when caused by force majeure events, including but not limited to: third-party network interruptions, natural disasters, pandemics, armed conflicts, government acts, widespread software failures, cyberattacks, or any other circumstance beyond our reasonable control.

Third-Party Integrations
The Service may integrate with third-party platforms necessary for its operation, such as payment processors (Stripe), authentication providers, analytics services, or other tools.
By using these integrations, you also accept the terms of use and privacy policies of the respective third-party providers. We access only the data strictly necessary to operate the authorized features.
Update with your actual third-party integrations (e.g., Stripe, Google OAuth, Meta, OpenAI) before launch.
Language
These Terms are available in multiple languages. In the event of any conflict or discrepancy between language versions, the {primaryLanguage} version shall prevail.

Governing Law
These Terms shall be governed by and construed in accordance with the laws of {jurisdiction}, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of {jurisdiction}.

Dispute Resolution
Before filing any legal claim, you agree to attempt to resolve the dispute informally by contacting us through the support section in your account. If the dispute is not resolved informally, it will be submitted to the courts specified in the Governing Law section.
If you are a consumer in the European Union, you may also use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
Severability
Each provision of these Terms operates independently. If any court or competent authority finds that any provision (or part of a provision) is invalid, illegal, or unenforceable, that provision or part-provision shall, to the extent required, be deemed deleted, and the validity and enforceability of all remaining provisions shall not be affected. The invalid provision shall be replaced by a valid provision that achieves, to the extent possible, the original commercial purpose.
Entire Agreement
These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Cerebelus regarding the Service and supersede all prior agreements.
Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will post a notice on the Service with reasonable advance notice. Your continued use of the Service after the changes become effective constitutes acceptance of the new Terms.
